Toto konstatov\u00e1n\u00ed bankovn\u00ed komise Poslaneck\u00e9 sn\u011bmovny p\u0159edstavuje drobn\u00e9 v\u00edt\u011bzstv\u00ed \u010cesk\u00e9 n\u00e1rodn\u00ed banky v konfliktu, jeho\u017e konec je v nedohlednu a mo\u017en\u00e1 skon\u010d\u00ed i p\u0159ed dom\u00e1c\u00edmi soudy.<\/p>\n<p>mezin\u00e1rodn\u00ed investi\u010dn\u00ed bankou Goldman Sachs. &quot;Kdyby vy\u0161la dohoda mezi Goldman Sachs a Invesmartem, stali bychom se akcion\u00e1\u0159i banky,&quot; potvrdil n\u00e1m James Woolf, \u0161\u00e9f v \u010cR p\u016fsob\u00edc\u00edch firem pod vlajkou mezin\u00e1rodn\u00ed investi\u010dn\u00ed banky Goldman Sachs. &quot;Na to jsme m\u011bli smlouvu o smlouv\u011b budouc\u00ed. Provozovali bychom banku, ale jenom jako investi\u010dn\u00ed spole\u010dnost bez bankovn\u00ed licence.&quot; Woolf by tedy z\u00edskal banku. A co Invesmart? To je z\u00e1hada. Mo\u017en\u00e1 by se spokojil t\u00edm, \u017ee by byl zbaven dluhu 2,7 miliardy korun, kter\u00fd te\u010f po n\u011bm po\u017eaduje spr\u00e1vkyn\u011b konkurzn\u00ed podstaty (viz rozhovor s Pavlem Rozehnalem, str. 34). Hroziv\u00fd z\u00e1vazek by z\u0159ejm\u011b p\u0159evzal Demac a Ital\u016fm by \u00fadajn\u011b na cestu dom\u016f p\u0159idal \u010dtvrt miliardy korun.<\/p>\n<p>LITUJE, \u017ee si v \u010cesku v\u016fbec za\u010dal? Catalfamo na na\u0161i ot\u00e1zku odpov\u00edd\u00e1 proc\u00edt\u011bn\u011b: &quot;Velmi \u010dasto.&quot; Krom\u011b po\u017eadavku nahradit \u00fadajnou \u0161kodu, kter\u00e1 vznikla zborcen\u00edm dohody s Goldmany, z\u0159ejm\u011b Paolo Catalfamo povede \u00fatok je\u0161t\u011b jedn\u00edm sm\u011brem. Paradoxn\u011b m\u016f\u017ee obvinit centr\u00e1ln\u00ed bank\u00e9\u0159e za to, \u017ee ho v\u016fbec vpustili do takov\u00e9 banky, v n\u00ed\u017e se pr\u00fd l\u00e9ta poru\u0161ovaly z\u00e1kony. Trestn\u00e9 \u010diny mana\u017eer\u016f UB p\u0159ed p\u0159\u00edchodem Ital\u016f mohly spo\u010d\u00edvat v neopr\u00e1vn\u011bn\u00e9m poskytov\u00e1n\u00ed \u00fav\u011br\u016f sp\u0159\u00edzn\u011bn\u00fdm osob\u00e1m. A pak by nastoupily dv\u011b varianty: bu\u010f o tom \u010cNB nic nev\u011bd\u011bla, anebo v\u011bd\u011bla, ale nezas\u00e1hla &#8211; oboj\u00ed je ka\u017edop\u00e1dn\u011b pro Invesmart \u0161patn\u011b. Parlamentn\u00ed bankovn\u00ed komise v\u00fdstra\u017en\u011b ukazuje tak\u00e9 na nedostatky v pr\u00e1vn\u00edm syst\u00e9mu. Proto doporu\u010duje, aby Sn\u011bmovna vyzvala vl\u00e1du k vypracov\u00e1n\u00ed novely z\u00e1kona o bank\u00e1ch a tak\u00e9 o st\u00e1tn\u00ed kontrole a o konkurzu. To by m\u011blo omezit nebezpe\u010d\u00ed zopakov\u00e1n\u00ed d\u011bsiv\u00e9 historie UB. D\u016fraz na syst\u00e9mov\u00e9 chyby (nikoli jejich), na to asi centr\u00e1ln\u00ed bank\u00e9\u0159i k\u00fdvnou.<\/p>\n<p>SP\u0158\u00cdZN\u011aN\u00c1 MORAVA. Union banka vznikla v roce 1991 jako mal\u00e1 region\u00e1ln\u00ed banka, kter\u00e1 m\u011bla napomoci restrukturalizovat ostravsk\u00fd region, drobn\u00e9 bankovnictv\u00ed se p\u0159idalo a\u017e za p\u011bt let. Od sv\u00e9ho po\u010d\u00e1tku byla prov\u00e1zan\u00e1 s m\u00edstn\u00edmi pr\u016fmyslov\u00fdmi kolosy. Ty koncem roku 1995 zalo\u017eily spole\u010dnost Facium, na kterou p\u0159evedly sv\u00e9 pod\u00edly. M\u011blo j\u00edt o &quot;obranu proti nep\u0159\u00e1telsk\u00e9mu p\u0159evzet\u00ed&quot; ze strany nov\u011b se rod\u00edc\u00edch finan\u010dn\u00edch dravc\u016f. Facium se v l\u00e9t\u011b 1996 p\u0159ejmenovala na Union Group, a ta a\u017e do p\u0159\u00edchodu Invesmartu vlastnila 75 procent akci\u00ed banky, st\u0159\u00eddali se jen men\u0161inov\u00ed akcion\u00e1\u0159i. Sou\u010dasn\u00e1 podoba UG se za\u010dala rodit v polovin\u011b 90. let, z\u00e1m\u011br zn\u011bl vybudovat st\u0159edn\u011b velkou finan\u010dn\u00ed skupinu, kter\u00e1 bude dostate\u010dn\u011b atraktivn\u00ed pro vstup strategick\u00e9ho \u017eenicha. Projekt zah\u00e1jila integrace \u010dty\u0159l\u00edstku mal\u00fdch bank, pokra\u010doval zalo\u017een\u00edm univerz\u00e1ln\u00ed poji\u0161\u0165ovny, vytvo\u0159en\u00edm nejv\u011bt\u0161\u00edho penzijn\u00edho fondu v zemi a investic\u00ed do polsk\u00e9ho bankovn\u00edho domu. V pr\u016fb\u011bhu p\u0159ekotn\u00e9ho r\u016fstu v\u0161ak Union banka poskytla obrovsk\u00fd objem \u00fav\u011br\u016f osob\u00e1m sp\u0159\u00edzn\u011bn\u00fdm s akcion\u00e1\u0159i UB i UG (\u0161lo o tzv. related party loans &#8211; RPL). Pen\u00edze dost\u00e1valy \u00fa\u010delov\u011b zalo\u017een\u00e9 firmy, kde p\u0159ev\u00e1\u017enou \u010d\u00e1st toho, co vykazovaly jako kapit\u00e1l, ve skute\u010dnosti tvo\u0159il \u00fav\u011br od UB. Je mo\u017en\u00e9, \u017ee pen\u00edze ze stejn\u00e9ho zdroje pak zam\u00ed\u0159ily i do UB, kde byly vykazov\u00e1ny jako nav\u00fd\u0161en\u00ed z\u00e1kladn\u00edho jm\u011bn\u00ed banky. Centr\u00e1ln\u00ed bance se to ale nikdy nepoda\u0159ilo prok\u00e1zat. Z hlediska z\u00e1kona se tedy zd\u00e1lo v\u0161echno v po\u0159\u00e1dku. V l\u00e9t\u011b 2000 se RPL vy\u0161plhaly na neuv\u011b\u0159iteln\u00e9 5,3 miliardy korun a ostravsk\u00e1 \u0161\u00e9fka Marie Parmov\u00e1 za\u010dala zoufale hledat strategick\u00e9ho investora.<\/p>\n<p>KOLOTO\u010c RPL. Partner m\u011bl p\u0159in\u00e9st nov\u00e9 finan\u010dn\u00ed zdroje a hlavn\u011b splatit RPL. Rozto\u010dila se dnes u\u017e dob\u0159e zn\u00e1m\u00e1 kola ne\u00fasp\u011b\u0161n\u00fdch jedn\u00e1n\u00ed s nejm\u00e9n\u011b p\u011bti zahrani\u010dn\u00edmi bankami. Tehdy u\u017e zas\u00e1hla \u010cNB: Union banka a Union Group musely sv\u00e9 RPL dodate\u010dn\u011b zajistit bonitn\u00edmi cenn\u00fdmi pap\u00edry. Pod tlakem \u010cNB uzav\u0159ely matka a dcera smlouvy, \u017ee prost\u0159edky z t\u011bchto prodej\u016f poputuj\u00ed do banky a pou\u017eij\u00ed se na spl\u00e1cen\u00ed RPL. (Jen\u017ee u\u017e v prosinci roku 2000 banka poskytla dal\u0161\u00ed \u00fav\u011bry na koupi akci\u00ed UG. Jednalo se tedy o prokazateln\u00e9 poru\u0161en\u00ed regulace a banka si vykoledovala pokutu ve v\u00fd\u0161i 2,5 milionu K\u010d.) Z prodeje akci\u00ed Vojensk\u00e9ho otev\u0159en\u00e9ho penzijn\u00edho fondu byly uhrazeny RPL ve v\u00fd\u0161i 2,2 miliardy. V \u010dervnu 2001 pak do\u0161lo k tajemn\u00e9 v\u011bci &#8211; UG podepsala smlouvu o prodeji sv\u00fdch akci\u00ed za 1,4 mld. K\u010d pr\u00fd britsk\u00fdm investor\u016fm, kter\u00e9 zastupovali advok\u00e1ti Seddons. Ti zaplatili polovinu, kter\u00e1 skute\u010dn\u011b \u0161la na umo\u0159en\u00ed RPL, pak je\u0161t\u011b p\u0159i\u0161lo 150 milion\u016f a v\u00edc u\u017e nic. Z\u00e1hadu dodnes tvo\u0159\u00ed, koho pr\u00e1vn\u00edci skute\u010dn\u011b zastupovali: \u0161lo o britsk\u00e9 investory, anebo jen poskytli z\u00e1st\u011brku tradi\u010dn\u00edm sp\u0159\u00edzn\u011bn\u00fdm osob\u00e1m? Nicm\u00e9n\u011b RPL ke konci roku 2001 poklesly na 2,1 miliardy.<\/p>\n<p>VLONI to vypadalo skoro nad\u011bjn\u011b, proklet\u00e9 \u00fav\u011bry se sn\u00ed\u017eily o dal\u0161\u00edch 850 milion\u016f. \u010cNB v\u0161ak zjistila, \u017ee v\u011bt\u0161ina vykazovan\u00e9ho sn\u00ed\u017een\u00ed RPL financovala Union banka &#8211; ze sv\u00fdch rychle se ten\u010d\u00edc\u00edch zdroj\u016f. K jedn\u00e9 taktick\u00e9 zm\u011bn\u011b v\u0161ak do\u0161lo: RPL byly p\u016fvodn\u011b poskytov\u00e1ny \u00fa\u010delov\u011b zalo\u017een\u00fdm, n\u011bkdy i virtu\u00e1ln\u00edm firm\u00e1m, nyn\u00ed proudily sm\u011brem k norm\u00e1ln\u011b podnikaj\u00edc\u00edm spole\u010dnostem (ale sp\u0159\u00edzn\u011bn\u00fdm taky). Tyto \u00fav\u011bry se ani neobjevovaly v hl\u00e1\u0161en\u00edch pro \u010cNB &#8211; \u00fav\u011bry byly pouze men\u0161\u00ed, okolo 50 milion\u016f, a hlavn\u011b tvo\u0159ily jen dopln\u011bk k b\u011b\u017en\u011b poskytovan\u00fdm \u00fav\u011br\u016fm.<\/p>\n<p>Vloni v dubnu \u010cNB podnikla kontrolu na m\u00edst\u011b a objevila, \u017ee banka krom\u011b jin\u00e9ho netvo\u0159\u00ed opravn\u00e9 polo\u017eky k \u00fav\u011br\u016fm v celkov\u00e9 v\u00fd\u0161i 1,35 mld. K\u010d. Hor\u0161\u00ed bylo zji\u0161t\u011bn\u00ed, \u017ee UB prov\u00e1d\u011bla prapodivn\u00e9 operace se sv\u00fdmi depozity u bank na Slovensku a Slovinsku. V kostce b\u011b\u017eelo o to, \u017ee UB pou\u017e\u00edvala sv\u00e9 slovensk\u00e9 a slovinsk\u00e9 vklady k ru\u010den\u00ed za \u00fav\u011bry, kter\u00e9 j\u00ed tamn\u00ed banky poskytly. Tyto \u00fav\u011bry byly z\u0159ejm\u011b jen dal\u0161\u00ed odr\u016fdou RPL. To u\u017e centr\u00e1ln\u00ed banku rozezlilo nadobro a kone\u010dn\u011b prosadila \u010d\u00e1ste\u010dn\u00e9 zm\u011bny ve statut\u00e1rn\u00edch org\u00e1nech. A v l\u00e9t\u011b 2002 u\u017e dost jasn\u011b \u0159ekli audito\u0159i Deloitte &#038; Touche: pokud do banky nevstoup\u00ed alespo\u0148 te\u010f strategick\u00fd investor, dokonce i bl\u00edzk\u00e1 budoucnost je zahalena do tmy.<\/p>\n<p>ITALOV\u00c9. Zoufal\u00e1 situace UB, to byl hlavn\u00ed d\u016fvod, pro\u010d centr\u00e1ln\u00ed banka v\u016fbec za\u010dala hovo\u0159it s mil\u00e1nskou skupinou Invesmart, za ni\u017e ale jedn\u00e1n\u00ed vedla jej\u00ed nizozemsk\u00e1 matka Invesmart B. V. Ji\u017e p\u0159i prvn\u00edch jedn\u00e1n\u00edch toti\u017e Invesmart deklaroval, \u017ee nehodl\u00e1 b\u00fdt strategick\u00fdm partnerem, ale jen zprost\u0159edkovatelem, kter\u00fd m\u00e1 UB o\u010distit a p\u0159ipravit pro kone\u010dn\u00e9ho \u017eenicha. To je mimo jin\u00e9 navlas stejn\u00e9 jako prohl\u00e1\u0161en\u00ed Nomury p\u0159i vstupu do IPB. Od dubna do \u0159\u00edjna 2002 prob\u00edhala s Invesmartem spr\u00e1vn\u00ed \u0159\u00edzen\u00ed, \u010cNB p\u0159ik\u00fdvla a\u017e na t\u0159et\u00ed pokus. Pokud si Invesmart mysl\u00ed, \u017ee centr\u00e1ln\u00ed banka zkoumala, zda je jeho investice vhodn\u00e1, hluboce se m\u00fdl\u00ed. P\u0159i schvalov\u00e1n\u00ed se zkoum\u00e1 jen \u017eadatel, zda ho lze vpustit k v\u00fdznamn\u00e9mu pod\u00edlu v bance, a tedy i do bankovn\u00edho syst\u00e9mu. Probl\u00e9mem Invesmartu bylo d\u00e1t v\u0161echny pot\u0159ebn\u00e9 doklady, hlavn\u011b prok\u00e1zat transparentnost a p\u016fvod zdroj\u016f. Nakonec Invesmart p\u0159edlo\u017eil pap\u00edry, podle nich\u017e m\u011bla b\u00fdt akvizice financov\u00e1na prost\u0159ednictv\u00edm zv\u00fd\u0161en\u00ed jeho z\u00e1kladn\u00edho kapit\u00e1lu ve v\u00fd\u0161i 90 mil. eur (zhruba 2,6 mld. K\u010d). Nav\u00fd\u0161en\u00ed bylo ale podm\u00edn\u011bno jednak z\u00edsk\u00e1n\u00edm souhlasu \u010cNB, jednak vy\u0159e\u0161en\u00edm star\u00e9 pohled\u00e1vky \u010cesk\u00e9 finan\u010dn\u00ed za UB. Tedy vlastn\u011b poskytnut\u00edm ve\u0159ejn\u00e9 podpory. St\u00e1t p\u0159itom zvolil pom\u011brn\u011b rozumnou pr\u00e1vn\u00ed konstrukci, kter\u00e1 znamenala, \u017ee Invesmart z\u00edskal akcie UG a UB a z\u00e1rove\u0148 na sv\u00e1 bedra p\u0159evzal RPL od p\u016fvodn\u00edch dlu\u017en\u00edk\u016f. N\u00e1sledn\u011b &#8211; po poskytnut\u00ed ve\u0159ejn\u00e9 podpory &#8211; m\u011bl Invesmart tyto \u00fav\u011bry re\u00e1ln\u011b uhradit z nav\u00fd\u0161en\u00ed sv\u00e9ho kapit\u00e1lu. To by docela o\u010distilo aktiva banky. Na podzim 2002, kdy\u017e Invesmart kone\u010dn\u011b vstoupil do Ostravy, p\u0159evzal 60 % akci\u00ed mate\u0159sk\u00e9 UG a p\u0159\u00edmo 22,6 % akci\u00ed UB. Od dlu\u017en\u00edk\u016f banky v\u0161ak p\u0159evzal taky z\u00e1vazky RPL za 2,7 mld. K\u010d. V tomto okam\u017eiku do\u0161lo na j\u00e1dro pudla: Jak to bude se st\u00e1tn\u00ed podporou? 20. \u00fanora MF bance ozn\u00e1milo Jobovu zv\u011bst: nevid\u00ed v jej\u00edch pl\u00e1nech \u0161anci na ozdraven\u00ed. Konec ji\u017e ne\u0161lo odvr\u00e1tit. V t\u00e9 chv\u00edli mimochodem \u010dinily RPL 3,5 miliardy korun.<\/p>\n<p>NA CO \u010cNB NESTA\u010cILA. Bankovn\u00ed dohled z\u00edsk\u00e1val o UB v\u0161echny mo\u017en\u00e9 informace a pou\u017e\u00edval k tomu v\u0161echny dostupn\u00e9 zdroje. Dala se z nich vy\u010d\u00edst re\u00e1ln\u00e1 situace banky? Obez\u0159etnostn\u00ed v\u00fdkazy a hl\u00e1\u0161en\u00ed: m\u00e1lo. Podrobn\u00e1 speci\u00e1ln\u00ed hl\u00e1\u0161en\u00ed: taky m\u00e1lo. Jedn\u00e1n\u00ed s managementem a akcion\u00e1\u0159i: nesta\u010dilo. Kontrola na m\u00edst\u011b, auditorsk\u00e9 zpr\u00e1vy, \u00fadaje od italsk\u00e9ho regul\u00e1tora, \u00fadaje ze spr\u00e1vn\u00edho \u0159\u00edzen\u00ed s Investmartem: je\u0161t\u011b sam\u00e1 voda. Pes le\u017e\u00ed zakop\u00e1n v tom, \u017ee \u010cNB ze z\u00e1kona postr\u00e1dala pravomoc z\u00edsk\u00e1vat informace od osob, kter\u00e9 nejsou \u010dlenem konsolida\u010dn\u00edho celku. Kl\u00ed\u010dov\u00e9 transakce v\u0161ak prob\u00edhaly mezi firmami na \u00farovni Union Group, a ty nejsou p\u0159edm\u011btem bankovn\u00edho dohledu ani jinak regulov\u00e1ny. Pravomoc centr\u00e1ln\u00edch bank\u00e9\u0159\u016f se tady rovnala nule a jist\u00e1 pravomoc p\u0159i z\u00edsk\u00e1v\u00e1n\u00ed informac\u00ed plat\u00ed nov\u011b, teprve rok. N\u011bco p\u0159esto \u010cNB zjistila a ukl\u00e1dala pak opat\u0159en\u00ed k n\u00e1prav\u011b. Bylo jich celkem 11, jednou je prov\u00e1zela pokuta, do\u0161lo na odvol\u00e1n\u00ed \u010dlen\u016f p\u0159edstavenstva a dozor\u010d\u00ed rady. Ale efekt byl miziv\u00fd. \u010cNB nen\u00ed \u0159editelem banky.
